End User License Agreement (EULA) – Short Form
This End User License Agreement ("Agreement") is a legal contract between you ("User," "You") as participants of Marubeni Enterprises and Veronect, a brand asset currently to be novated fully and irrevocably to Veronect Enterprises Private Limited (or any entity containing the keyword ‘Veronect’ in its business’ legal name, or brand name) as an independent legal corporate entity, (which are collectively to be referred to as "Company," "We," "Our"), governing the access and use of our digital knowledge and applications platform. By accessing or using the Platform, you agree to be bound by this Agreement.
1. Eligibility. You are 18 or over, have capacity to contract, and use the Platform for professional purposes as a Program participant. You sign in Your personal capacity and do not bind Your employer ([Marubeni group company]) unless You tick the authorised box below. Nothing here makes Your employer a customer of the Company.
2. License and acceptable use. The Company grants You a limited, worldwide, non-exclusive, non-transferable, revocable license to use the Platform for internal professional use. You shall not copy, modify, reverse engineer, resell or sublicense the Platform; share credentials; scrape it or bypass security; use it to build a competing product; upload unlawful, infringing or harmful content; or use it for any unlawful, corrupt or sanctioned purpose.
3. Marketplace and AI. Unless agreed in writing, the Company is not a party to contracts between you and service providers and does not guarantee their services. You must assess providers yourself. AI outputs may be inaccurate and are not professional advice. You own outputs from your inputs. The Company will not train AI models on your identifiable data without separate consent.
4. Fees. Access is free during the Program and until Mar 2026. You will be charged only if you expressly subscribe to a paid plan on terms shown to you at the time.
5. Accounts and service. Provide accurate information, keep your credentials confidential, and report unauthorized use to [security@veronect.com]. The Company will use reasonable efforts to keep the Platform available (99.5% monthly target, not a guarantee; no service credits for free access) and provides email support at [support@veronect.com] on Indian business days.
6. Data and privacy. You own your data. The Company may host and process it only to provide and secure the Platform for You, will not sell it, and handles personal data under its Privacy Policy, the Digital Personal Data Protection Act, 2023 and other applicable law (including Japan's APPI where it applies to you). Your data will be securely stored in AWS server infrastructure located in Asia (In India by default, or any other server location you explicitly nominate); India's DPDP Act gives you rights of access, correction, erasure and grievance redressal. The Company uses reasonable security (encryption in transit, access controls) and will notify you of breaches as required by law. You may exercise your rights or withdraw consent via the Grievance Officer.
7. Metrics and verification. The Company may use aggregated, de-identified usage statistics for any lawful purpose, including reporting to investors and auditors. Identifiable disclosure to auditors and investors, in confidence and only to verify user records, requires Your optional consent below. The Company will not use Your name or Your employer's or Thunderbird's name or logo publicly without written consent.
8. IP, confidentiality and feedback. The Platform and all related IP belong to the Company (from the Novation Date, Veronect). Each party keeps the other's confidential information confidential for 3 years after termination. The Company may freely use feedback You give.
9. Term and termination. This Agreement runs from acceptance until terminated. You may close Your account at any time. Either party may terminate for material breach uncured within 30 days. The Company may suspend access for breach of Section 3, security risk or legal requirement. After termination, you may export Your data for 30 days. It will then be deleted or de-identified, except as required by law and the acceptance record (kept up to [8] years).
10. Disclaimers and liability. The Platform is provided "as is". Neither party is liable for indirect or consequential loss or lost profits. The cap does not apply to fraud, wilful misconduct, gross negligence, or liability that cannot be limited by law. You indemnify the Company against third-party claims arising from Your breach of Section 3, infringing content You upload, or Your wilful breach of law.
11. Sanctions. You are not located in a comprehensively sanctioned country or on any sanctions list of India, the UN, Japan, the US, the EU or the UK.
12. Law and disputes. Indian law governs. After 30 days of good-faith discussion, disputes go to a sole arbitrator under the Arbitration and Conciliation Act, 1996, seated in New Delhi, in English. The courts at New Delhi have exclusive jurisdiction subject to arbitration.
13. Grievance Officer and notices. The Grievance Officer acknowledges complaints within 24 hours and resolves them within 15 days. Notices to You go to Your registered email. Notices to the Company go to legal@veronect.com.
14. Records and amendments. Physical, electronic and click-through acceptance are all valid under the Information Technology Act, 2000. The Company records Your agreement version, the timestamp, method, email/user ID, IP address and consents. Material changes need 30 days' notice (and fresh acceptance where the law requires). The novation in Section 1 is not an amendment.
15. General. This Agreement, the Privacy Policy and any transaction terms are the entire agreement. You may not assign it. The Company may assign it to a successor on notice. Force majeure excuses delays beyond a party's reasonable control. Invalid terms are severed. No waiver by delay. The parties are independent contractors. English prevails. Sections 1, 7–11 and 13 survive termination.
